Terms and conditions of sale
These terms set the framework for KARVEO’s services. They supplement the quote: where the two differ, the signed quote prevails.

Who these terms apply to
These terms govern KARVEO’s services: automation, website and application development, chat and voice agents, consultancy and training.
They apply to professionals — companies, associations, self-employed people — acting in the course of their business.
No sale is concluded on this site: there is no basket and no online payment. Every service goes through a quote issued in the client’s name, drawn up after a first conversation.
How a service comes about
The site makes no firm offer. A first conversation frames the need, then a priced quote is issued.
The contract comes into being on signature of the quote, and on nothing else. An exchange of e-mails, a conversation with the site’s assistant or an agreement in principle binds neither party.
The quote sets out the scope, the timescales, the price and the payment terms. Anything not stated in it is not included.
Price and payment
Prices are expressed in euros. KARVEO falls under the franchise en base de TVA, the French VAT exemption (article 293 B of the CGI, the French general tax code): VAT is not applicable and therefore cannot be reclaimed by the client.
The payment terms are set out in the quote. Unless otherwise stipulated, payment falls due thirty days from the invoice date.
Any late payment automatically incurs interest at the rate applied by the European Central Bank to its most recent refinancing operation, increased by ten percentage points, together with fixed compensation of €40 towards recovery costs (articles L441-10 and D441-5 of the French commercial code). This sum is payable by the client as a business, and no reminder is needed before it becomes due.
What each side provides
KARVEO undertakes an obligation de moyens — a French-law duty of care, not of result: to apply the care and skill expected of a professional in its field.
The client provides the necessary access, content and information in good time. Any delay on the client’s part pushes the timescales back accordingly, with no compensation.
Subscriptions to the third-party services needed to run what is delivered — hosting, APIs, domain names — are taken out in the client’s name and paid for by the client. KARVEO sets them up; it does not own them.
Ownership of deliverables
Deliverables made specifically for the client become the client’s property on full payment of the price. Until that payment, KARVEO retains ownership of them.
Pre-existing tools, methods and libraries remain the property of KARVEO or of their authors. The client receives the right to use them within the project delivered.
If the relationship ends, the client gets their data back and the credentials for their accounts, in working order.
Personal data and confidentiality
Where KARVEO processes personal data on the client’s behalf, it acts as processor within the meaning of article 28 of the RGPD (the French name for the GDPR). A separate processing agreement then governs the subject matter, the duration and the nature of the processing, and what becomes of the data at the end of the engagement.
Each party keeps confidential any information of the other that it has access to. This obligation survives the end of the engagement.
Liability
KARVEO’s liability is limited to direct and foreseeable damage, and capped at the amount actually paid by the client for the service in question.
Loss of business, data, turnover or reputation is not recoverable, nor is damage caused by a third-party service outside KARVEO’s control.
These limitations do not apply to gross negligence or wilful misconduct (faute lourde or dolosive), nor to personal injury, nor where the law sets them aside.
Termination
Either party may terminate the contract for a serious breach by the other that is not remedied within thirty days of a written mise en demeure (a formal notice to perform).
Services performed up to termination remain payable.
Governing law and disputes
These terms are governed by French law.
In the event of a dispute, the parties first seek an amicable solution. Failing agreement within sixty days, the dispute will be heard by the commercial court in Mulhouse (the tribunal de commerce de Mulhouse). This page is an English translation provided for convenience. The French version is the original and the only one that is binding; where the two differ, the French text prevails.
Consumer ombudsman scheme
KARVEO currently works only with professionals. The duty to appoint a consumer ombudsman, set out in article L612-1 of the French consumer code, therefore does not apply.
It will apply from the first sale to a consumer: an approved ombudsman will have to be appointed before that sale, and their details will appear here.
